Terms of Service

1. Acceptance

These Terms of Service ("Terms") govern your access to and use of the Coda website at coda-app.comand the Coda desktop application (together, the "Service"). By downloading, installing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. License to use Coda

The Coda One-Time License grants you a personal, non-exclusive, non-transferable right to install and use the desktop app, subject to these Terms. Your license is tied to your account. Maestro is an optional paid subscription that adds a larger allowance of AI tokens. You may not resell, redistribute, rent, or sublicense the Service, or attempt to reverse engineer, decompile, or circumvent its licensing.

3. Free trial

Coda offers a 14-day free trial of the full application, with no payment required to start. To keep using Coda after the trial, you purchase a license from within the app.

4. Purchases and billing

Licenses and the optional Maestro subscription are purchased inside the app and processed by a third-party payment provider, whose terms also apply to the transaction. Subscriptions continue until cancelled, and prices may be shown exclusive of taxes that apply to your region. Refund eligibility, if any, is described at the point of purchase.

5. Your content

You keep all rights to your audio files, samples, and presets. Coda indexes your library locally and does not claim any ownership of it. You are responsible for ensuring you have the rights to the content you manage with Coda.

6. Intellectual property

The Coda application, website, name, and logo are owned by Coda and protected by applicable laws. These Terms do not grant you any rights to our trademarks or branding.

7. Disclaimer

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet your specific requirements.

8. Limitation of liability

To the maximum extent permitted by law, Coda will not be liable for any indirect, incidental, special, or consequential damages, or for any loss of data, arising out of or related to your use of the Service.

9. Termination

You may stop using the Service at any time. We may suspend or terminate access if these Terms are violated. Sections intended to survive termination (such as intellectual property, disclaimers, and limitation of liability) will continue to apply.

10. Governing law

These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws rules.

11. Changes

We may update these Terms from time to time. When we do, we will revise the date at the top of this page. Continued use of the Service after changes take effect means you accept the updated Terms.
